CONSTITUTION OF THE McDANIEL COLLEGE ALUMNI ASSOCIATION
ARTICLE I: NAME
The name of the organization shall be the McDaniel College Alumni Association, and shall hereinafter be referred to as the Association.
ARTICLE II: OBJECT
The purpose of the Association is to:
1. Strengthen the bond and promote mutual understanding between alumni and McDaniel College;
2. Build community among alumni, students, faculty, and friends of the college; and
3. Expand awareness of and support for McDaniel College and its programs.
ARTICLE III: MEMBERS
All graduates and former students of McDaniel College, founded as Western Maryland College, and others as provided under Section 1.01 of the Bylaws of the Association, shall be entitled to be members of this Association.
ARTICLE IV: OFFICERS
A. The Officers of the Association shall be:
1. The President;
2. The President-Elect or President Emeritus as appropriate pursuant to the Bylaws of the Association;
3. The Treasurer; and
4. The Executive Secretary.
B. The Officers shall be responsible for performing the following duties, subject to the provisions of the Bylaws of the Association:
1. The President shall be the chief Executive Officer of this Association, and shall have entire supervision of the affairs of the Association subject to the Constitution and Bylaws of the Association.
2. The President-Elect or President Emeritus shall perform such executive and other duties as requested by the President, and in the case of absence, resignation, disability or death of the President, shall perform all the duties of the office of the President. The President Emeritus shall perform these duties until a suitable President-Elect is brought into office.
3. The Executive Secretary is the Associate Vice President for Alumni Relations and Annual Giving and shall be a non-voting member of the Alumni Council, of all committees appointed under or by the authority of the Alumni Council, and shall be under the direction of the President of McDaniel College and of the Alumni Council of the Alumni Association.
4. The Treasurer shall be a member of the Alumni Council and shall work with the Alumni Office to ensure that full and accurate accounts are kept of the receipts and expenditures of the Association.
ARTICLE V: MEETINGS
The Association shall hold at least four (4) meetings of the Alumni Council annually which shall be open to all alumni and publicized to alumni membership at a minimum on the College website, at least fifteen (15) days prior to the meeting date.
ARTICLE VI: ALUMNI COUNCIL
A. 1. The governing body of the Association shall be known as the Alumni Council. It shall consist of:
a. The President of the Association;
b. The President-Elect or President Emeritus as appropriate pursuant to the Bylaws of the Association;
c. The Treasurer;
d. The President of McDaniel College;
e. Eleven (11) Members-at-Large; and
f. The Chairs of the Council’s standing committees.
2. The non-voting ex-officio members of the Alumni Council shall be:
a. All alumni chapter presidents;
b. The current Student Government Association President;
c. The current Student Alumni Council President;
d. The Current Senior Class President; and
e. The Executive Secretary.
B. There shall be eleven (11) Members-at-Large. Each year an appropriate number of candidates shall be nominated to fill vacancies. Each member-at-large shall:
1. Respond and react to issues brought before the council on behalf of the alumni constituency; and
2. Bring to the attention of the Alumni Council any comments or concerns which have been communicated to the Member-at-Large by any member of the alumni constituency.
ARTICLE VII: EXECUTIVE COMMITTEE
A. The Executive Committee shall be comprised of:
1. The President of the Association;
2. The President-Elect or President Emeritus, as appropriate pursuant to Bylaws of the Association;
3. The Treasurer;
4. The President of McDaniel College; and
5. The Chair of the Nominations and Governance Committee.
B. The Executive Secretary shall serve as a non-voting ex-officio member of the Executive Committee.
C. The Executive Committee shall act for the Alumni Council between its meetings and may delegate such authority as it may see fit to the Executive Secretary.
D. Minutes shall be kept of all proceedings and shall be presented to the Alumni Council at the Council’s next meeting.
ARTICLE VIII: VISITOR TO THE BOARD OF TRUSTEES
The President, President-Elect or President Emeritus as appropriate pursuant to the Bylaws of the Association, and Executive Secretary of the Alumni Association shall serve as Visitors to the McDaniel College Board of Trustees. These visitors shall:
1. Be liaison officers between the Association and the Board of Trustees;
2. Attend meetings of the Board of Trustees;
3. Be assigned to committees of the Board of Trustees by the Chairman of the Board of Trustees;
4. Attend meetings of the Alumni Council annually; and
5. Report to the Alumni Council following the general business meetings of the Board of Trustees.
ARTICLE IX: PARLIMENTARY AUTHORITY
Except as otherwise provided in the Constitution, all meetings shall be conducted pursuant to Robert’s Rules of Order. Rules of order may be suspended by a two-thirds vote of the Alumni Council.
ARTICLE X: AMENDMENTS
Amendments to the Constitution of this Association may be made at any annual meeting or special meeting called for the purpose, provided that notice of the proposal and the content of the proposed amendments is submitted in writing to the Alumni Council not less than thirty (30) days prior to the meeting at which the amendments are to be voted upon. Such amendments may be adopted by an affirmative vote of two-thirds of the Alumni Council.
